Life Sciences & Tech Transactions Assoc/Counsel (5–7 Years) – Boston, MA

Direct Counsel is representing a leading AmLaw firm seeking a Life Sciences & Tech Transactions Assoc/Counsel to join its Technology Transactions and Licensing Group in Boston . This role offers the opportunity to work on sophisticated, high-impact transactions for clients in the life sciences and technology sectors , including complex domestic and cross-border deals.

Key Responsibilities

• Structure, draft, and negotiate complex IP and commercial agreements , including licensing, collaboration, distribution, SaaS/cloud, services, and development agreements

• Advise clients on intellectual property rights and technology transactions , including support for life sciences M&A transactions

• Collaborate with attorneys across corporate, IP, regulatory, and tax practices on multidisciplinary matters

• Support joint ventures, strategic alliances, outsourcing, and licensing transactions

• Provide strategic guidance to clients operating in highly regulated and innovation-driven industries

Qualifications

• J.D. from an accredited law school with strong academic credentials

• 5–7 years of experience in technology transactions, IP licensing, or related commercial agreements

• Experience working with life sciences companies or in related industries

• Background in life sciences, medical training, or related technical field is a plus

• Strong drafting, negotiation, analytical, and communication skills

• Active bar membership in good standing in the applicable jurisdiction
