Overview
We help overseas companies set up, manage and grow their business in the US. We offer one stop shopping to our clients in accounting, payroll, tax, legal, HR and talent search.
We are currently looking for aParalegal to assist our Head of Advisory. We offer a dynamic and rewarding work environment with growth opportunities and professional development support.
The Paralegal will work on administrative, corporate, and banking matters for our 300+ clients and work with a team of 2 Junior Paralegals.
This is a hybrid position at our office in Cambridge with employees working two days a week at the office.
Main Responsibilities
ADMINISTRATIVE:
Daily update and maintenance of internal records and compliance calendars for 300+ clients for corporate, tax, banking and business registration tasks. Use compliance calendars to manage workflow and supervise Junior Paralegal(s).
CORPORATE:
· Maintain accurate and updated corporate records for US companies (including certificates of incorporation/formation, information on officers, bylaws, board and shareholder meeting minutes, state tax and business registrations, banking and IRS information, other corporate filings, etc.).
· Register US companies with Secretary of State in states where they carry out business.
· File annual reports for US companies in state of incorporation/formation and states where they carry out business.
· Withdraw companies from states where they are registered.
· Prepare certificates of amendment, dissolve companies, etc.
· Identify any issues with above matters and find a timely solution by working with State administrative agencies by phone and email.
· Prepare minutes of US companies: to approve the annual accounts, to update officers and directors, to change the name of the company, capital increase, etc.
· Prepare basic corporate documentation (affidavits of domiciliation, NDA’s, etc.).
· After training, as required: prepare intercompany agreements; prepare employment related agreement (offer letters, termination letters, separation agreements)
BANKING:
· Open bank accounts for US companies with our partner banks.
· Bank account maintenance issues (update signatories on bank accounts, update change of address or change of name, close bank account, etc.).
· Prepare KYC compliance requests for multiple clients at the same time.
· Process credit/debit card requests.
· Work with our relationship manager at partner banks by email and phone to resolve issues in the above matters.
· Maintain relationships with partner banks.
Required Qualifications and Skills
· Bachelor's degree in business, legal studies or other major; or paralegal degree.
· 5+ years of experience in a legal assistant/paralegal position (law firm is a plus) or administrative/clerical position.
· Proficiency in MS Office applications (Outlook, Word, Excel, PowerPoint) and Google applications (spreadsheets).
· Excellent organizational skills.
· Excellent time management skills.
· Detail oriented.
· Ability to prioritize competing demands.
· Ability to manage multiple assignments, deadlines and calendars.
· Ability to manage short term and long-term projects.
· Ability to multitask while maintaining acute attention to detail.
· Ability to work independently.
· Outstanding interpersonal, verbal and written communication skills.
· High level of confidentiality and discretion.
· Ability to work well with colleagues and clients.
· Prior management experience.
