PRIVATE EQUITY ATTORNEY - PROFESSIONAL TRACK

A top-10 AmLaw firm is seeking a talented Associate Attorney to join its Private Equity Practice Group in Boston . This is an excellent opportunity for an attorney early in their career who is interested in handling sophisticated transactional work in a flexible, non-partnership track position.

Candidate Profile

• JD from a top-tier law school with an excellent academic record .
• Active Bar Admission in Massachussetts , in good standing.
• 1–3 years of substantive transactional law experience .
• Transactional Knowledge : Experience conducting mergers and acquisitions (M&A) diligence and supporting leveraged buyouts .
• AmLaw or SEC Background : Prior experience at a large law firm or regulatory agency (SEC)strongly preferred .
• Comfortable working directly with clients and providing representation in connection with daily matters, including equity grants and corporate governance .
• Highly capable of managing multiple matters simultaneously in a fast-paced environment.
• Soft Skills: Excellent analytical and writing skills, strong business acumen, attention to detail, and the ability to work independently as well as collaboratively.

Key Responsibilities

• Conduct diligence on M&A transactions and provide support throughout all aspects of leveraged buy-out transactions .

• Advise clients on day-to-day corporate matters and corporate governance issues .

• Client Interaction : Maintain regular communication with clients and play a key role in managing deal timelines and expectations.

• Cross-Practice Collaboration : Work closely with attorneys across practices including tax, employment, and finance to provide comprehensive legal support.

Compensation & Benefits

• Competitive Compensation : Annual base salary is expected to range from $150,000 – $378,685 , depending on experience, qualifications, and market factors. Discretionary bonus opportunities are also available.
