Our client, a premier AmLaw 50 firm, is seeking a driven mid-level Associate Attorney to join its high-performing Debt Finance Practice Group . This is an exciting opportunity to work on complex and high-value debt financing transactions for elite private equity sponsors, direct lenders, and financial institutions across a wide range of industries and deal structures.
Candidate Profile
- JD from a top-tier law school with a strong academic record.
- Active Bar Admission in the relevant jurisdiction, in good standing, or eligibility to obtain admission promptly.
- 3–5 years of substantive experience representing private equity sponsors , banks , and/or private credit lenders in connection with leveraged finance transactions .
- Deal Experience : Demonstrated expertise in structuring , drafting , and negotiating term and revolving credit facilities for leveraged buyouts , acquisition financings , and corporate growth .
- Documentation: Strong proficiency in drafting and negotiating commitment letters , credit agreements , and collateral documents .
- Prior experience at an AmLaw 100 or similarly sophisticated firm preferred .
- Soft Skills: Excellent communication, organizational, and analytical abilities; experience managing complex workstreams and coordinating with multiple stakeholders; proven ability to thrive in a fast-paced, high-performance environment.
Key Responsibilities
- Represent private equity sponsors and financial institutions in sophisticated debt finance transactions , including leveraged buyouts, dividend recapitalizations, and other acquisition financings.
- Draft, negotiate, and manage key financing documents such as commitment papers, credit agreements, and security agreements.
- Advise clients on structuring and execution of senior , mezzanine , and unitranche facilities .
- Collaborate with colleagues across the firm’s private equity, M&A, tax, and restructuring teams to deliver comprehensive transactional support.
- Serve as a key contributor throughout all stages of transactions —from term sheet negotiations through closing.

Compensation & Benefits
- Competitive Compensation: Annual base salary is expected to range from $260,000 – $365,000 , depending on experience, qualifications, and market factors.
