Corporate Transactions Paralegal

$90,000 - $125,000

The ideal candidate will have hands-on experience in mergers and acquisitions, corporate governance, and regulatory compliance. This role demands exceptional organizational skills, meticulous attention to detail, and the ability to manage multiple projects simultaneously while supporting both attorneys and clients.

Responsibilities:

• Prepare, review, and file corporate documents, including entity formations, amendments, and foreign qualifications
• Assist attorneys throughout the lifecycle of mergers and acquisitions, from initial due diligence to post-closing matters
• Draft, organize, and coordinate transactional documents such as purchase agreements, merger documents, loan agreements, and regulatory submissions
• Conduct UCC searches, prepare reports, and file financing statements
• Support federal and state securities filings, including SEC filings, Form D, and applicable state registrations
• Maintain annual and periodic filings, including Form ADV, Form PF, and Sections 13D/13G
• Coordinate transaction closings, ensuring accurate preparation of checklists, signature sets, and closing binders
• Work with internal teams and external parties to resolve transactional issues and ensure smooth closings
• Organize and maintain data rooms, track corporate documents, and prepare concise summaries
• Contribute to post-closing processes, including record organization and compliance monitoring

Qualifications:

• Bachelor’s degree, paralegal certification, or at least four (4) years of comparable professional experience
• Strong familiarity with corporate transactions, regulatory filings, and government procedures preferred
• Excellent attention to detail, strong analytical skills, and accuracy in drafting and reviewing documents
